Romania Company Formation for Non-Residents
Romania has become a popular base for international founders: it is an EU member, incorporation is fast and inexpensive, and small companies can benefit from a competitive micro-company tax regime. This guide explains how a non-resident can set up a Romanian company.
Can a non-resident own a Romanian company?
Yes. Foreign individuals and foreign companies can own 100% of a Romanian SRL (the equivalent of an LLC). There is no residency requirement to be a shareholder or director.
Can it be done remotely?
In most cases, yes. With a power of attorney, the incorporation can be handled without travelling to Romania. Documents are signed digitally or notarised/legalised at a notary or Romanian embassy.
What you need
- A company name (we reserve it at the Trade Register / ONRC);
- A registered office address in Romania;
- Identification documents for shareholders and the director;
- Articles of association and the required declarations;
- Share capital (the minimum is low and accessible).
The micro-company tax regime
Many small SRLs qualify to be taxed on turnover instead of the standard 16% profit tax. From 2026 the rate is a single 1%, for companies with turnover up to €100,000 and at least one full-time employee. Dividends are taxed separately (16% from 2026).
