The France–Romania double tax treaty

Because both countries are in the EU, a French founder drawing money out of a Romanian SRL sits inside two overlapping systems: EU directives and the bilateral France–Romania tax treaty. The treaty caps the Romanian withholding tax on cross-border payments and lets you credit tax paid in Romania against French tax on the same income, so the flow is not taxed twice at full rates.

Treaty rates are ceilings, and the lower of the treaty or the domestic rate applies. Between two EU states the EU Parent-Subsidiary Directive can also reduce withholding on qualifying dividends to 0% where a French company holds the shares, and the Interest & Royalties Directive can do the same for interest and royalties between associated companies. Permanent establishment & where the profit is taxed

The treaty follows the standard model: your Romanian SRL is taxable in Romania unless it creates a permanent establishment (a fixed place of business, or a dependent agent habitually concluding contracts) in France. The catch for a solo founder is management substance. Under French law a company whose place of effective management is in France can be treated as French-resident for corporate tax, and the treaty tie-breaker for a dual-resident company also looks to the place of effective management. If you run the SRL day-to-day from your kitchen in Lyon, the profit can be pulled back into the French base — so real Romanian substance (an office, local decision-making, ideally an employee) matters.

France's CFC rules — Article 209 B

France taxes controlled foreign companies under Article 209 B of the Code général des impôts. The relief that matters here: for a subsidiary established inside the EU, Article 209 B does not apply unless the structure is an artificial arrangement aimed at escaping French tax — the principle the EU Court set out in Cadbury Schweppes. A genuine Romanian SRL with a real office, real activity and its own staff is normally outside the CFC net; a letterbox with no substance is exactly what the rule is designed to catch. Worked example. A Paris-based developer bills EU SaaS clients through a Romanian SRL. Turnover is €90,000 for the year, under the €100,000 micro cap, and the company employs one part-time developer in Romania, so it keeps the micro regime: turnover tax is 1% ≈ €900 for the year. When she distributes profit to herself, Romania withholds dividend tax capped at 10% under the treaty, and she reports the dividend in France with a credit for the Romanian tax already paid. She still handles French VAT via the EU One-Stop-Shop for any B2C sales and reverse-charges B2B invoices.
