Accounting services →What a foreigner needs to register a Romanian SRL
A Romanian SRL (societate cu răspundere limitată) is the limited-liability company equivalent — the standard vehicle for foreign founders. It can be owned 100% by non-residents, needs no Romanian residency, and is registered at the Trade Register (ONRC). Here is what the file requires when you incorporate from abroad.
| Requirement | Detail (2026) |
|---|---|
| Founder tax ID (NIF) | Non-residents get a Romanian tax identification number (NIF) — no Romanian CNP needed. We obtain it for you. |
| Power of attorney | Lets us file everything remotely; signed digitally or notarised/legalised at a notary or embassy. |
| Minimum share capital | RON 500 for new SRLs from 2026 (up from RON 200); RON 5,000 if annual turnover exceeds RON 400,000. |
| Registered office | A Romanian registered address is mandatory — included for the first year. |
| Company name & CAEN codes | A reserved, unique name and the CAEN activity codes that define what the company may do. |
| Articles of association | Drafted for you; adopted by the founder(s) and filed at ONRC. |
| Translations & apostille | Foreign identity/corporate documents may need sworn translation and apostille/legalisation — coordinated at cost. |

Timeline & cost
With documents ready, ONRC registration typically takes 3–5 business days; document preparation adds 1–2 days. Our formation service fee is a flat, all-inclusive figure; third-party state costs are passed through at cost so the headline price stays honest.
| Item | Amount |
|---|---|
| Formation service fee (non-resident, all-inclusive) | €990 flat |
| ONRC state fees | ~€50, at cost |
| Sworn translation, apostille/legalisation, notary | Varies by country, at cost |
| Ongoing accounting (optional) | from €65/month |

How a Romanian SRL is taxed (2026)
Romania is competitive on tax, which is a large part of why founders incorporate here. The figures below changed in 2025–2026 — we set your company up in the right regime from the start.
| Tax | 2026 rate / threshold |
|---|---|
| Micro-company (turnover) tax | 1% — turnover cap €100,000, at least one employee |
| Corporate profit tax | 16% on profit (if micro conditions are not met) |
| Dividend tax | 16% (up from 10%, from 1 January 2026) |
| VAT — standard / reduced | 21% / 11% |
| VAT registration threshold | RON 395,000 annual turnover |
The 3% micro rate was abolished, leaving a single 1% rate; a company passing €100,000 turnover moves to 16% profit tax from that quarter. Compare regimes with the micro vs profit tax calculator, or dig into the micro-company tax and profit tax guides.

How long does it take to register a company in Romania?
Once documents are ready, registration at the Trade Register (ONRC) typically takes 3–5 business days. Document preparation takes another 1–2 days.
Can the whole process be done remotely?
Yes. With a power of attorney we can incorporate your SRL without you travelling to Romania. Documents are signed digitally or at a notary/embassy.
What is the minimum share capital for a Romanian SRL?
From 2026, a newly formed SRL needs minimum share capital of RON 500 (raised from RON 200); it rises to RON 5,000 where annual turnover exceeds RON 400,000. We confirm the amount and handle the deposit during incorporation.
What does it cost to open a company in Romania?
Our service fee is a flat €990 for non-resident formation, all-inclusive. State fees (~€50), sworn translation and apostille are billed separately, at cost. Ongoing accounting starts at €65/month. See pricing.
Will my company qualify for the micro-company tax?
Many new SRLs do, subject to the €100,000 turnover cap and the one-employee condition, which change periodically. We assess your eligibility before you incorporate so there are no surprises. See our Romania company tax guide.
What do foreigners need to register a Romanian SRL?
A Romanian tax ID (NIF) for the founder, a power of attorney so we file remotely, a Romanian registered office, the articles of association and CAEN activity codes. Foreign documents may need sworn translation and apostille. No Romanian residency or CNP is required.
Do you also handle accounting after incorporation?
Yes — most clients add monthly accounting and VAT, so the company stays compliant from day one.
