How to Register a Company in Romania: Step by Step

The steps to register a Romanian SRL

  1. Pick your structure and reserve the name. Most foreign founders choose an SRL (the Romanian limited company); if you are weighing the alternatives, see SRL vs PFA. We then reserve your proposed company name at the Trade Register (ONRC).
  2. Choose your CAEN/NACE activity codes. Every company declares one main activity code plus any secondary codes. These define what your SRL is authorised to do, so it is worth selecting them carefully up front.
  3. Prepare the articles of association and power of attorney. The constitutive documents are drafted, and a power of attorney lets us file on your behalf. Documents signed abroad are usually apostilled and translated into Romanian.
  4. Get a Romanian tax ID (NIF) for the founder. As a non-resident, each foreign shareholder or director needs a Romanian tax identification number (NIF) before the file can be completed. We obtain this for you.
  5. Provide a registered office. The SRL needs a registered office address in Romania. This can be your own premises or a registered-office service.
  6. File at the Trade Register and obtain the CUI. The complete file is submitted to ONRC. Once approved, the company is registered and receives its CUI (the unique tax identification code) along with the registration certificate.
  7. Register for VAT if applicable. VAT registration may be required once you cross the threshold of RON 395,000 in turnover, or you can register voluntarily. The standard VAT rate is 21%, with a reduced rate of 11% for certain supplies.
  8. Open a bank account. With the CUI and incorporation documents, you can open a business bank account to deposit capital and operate.

How long does it take?

Once your file is complete and the documents are in order, registration at ONRC typically takes a few business days. The preparation phase — gathering IDs, apostilles, translations and the NIF — usually drives the overall timeline.

What about tax?

Many small SRLs qualify for the micro-company regime, taxed at 1% of turnover (capped at €100,000 of revenue and requiring at least one employee). Companies outside that regime pay the standard 16% profit tax. We assess your eligibility before incorporating.
