Power of Attorney for Romanian Company Formation (2026)

A power of attorney (PoA) — procură or împuternicire in Romanian — is the single document that makes remote company formation possible. It lets a trusted agent in Romania act for you, so you never have to fly in. Here’s how it works.

What the power of attorney does

By signing a PoA, you authorise a Romanian lawyer or agent to carry out specific tasks on your behalf, such as:

  • reserving the company name and filing the incorporation documents at the Trade Register (ONRC);
  • signing the required declarations connected to the registration;
  • requesting your NIF tax ID from the tax authority;
  • handling related steps such as the registered office and follow-up with the authorities.

The PoA is specific — it lists exactly what the agent may do. It does not hand over control of your company; it simply lets someone file paperwork you’d otherwise have to submit in person.

How it’s signed when you’re abroad

Because you’re signing outside Romania, the PoA normally has to be notarised in your country, and then either apostilled (for countries in the Hague Apostille Convention) or legalised (for the rest). It usually also needs a sworn translation into Romanian to be accepted by ONRC.

In some cases a qualified electronic signature can be used instead, which speeds things up considerably. Which option applies depends on your country and the specific filing.

What to get right

  • Accurate personal details — names must match your passport exactly.
  • The right scope — the PoA must cover every action the agent needs, or the filing stalls.
  • Proper legalisation — an un-apostilled or untranslated PoA will be rejected.
